Regional airports did not meet legal deadlines

The company behind the regional airports of Antwerp and Ostend has "failed to comply with the legal deadlines for making documents available to shareholders and the auditor." This was revealed on Wednesday in the auditor’s report.

Furthermore, the auditor was not invited to the General Meeting.

After the regional airports presented rather poor figures last week, the auditor’s report is also harsh. The report states, among other things, that legal deadlines were not met and that the auditor was not invited to the General Meeting. It is not clear exactly which documents were not made available on time. From a legal point of view, the auditor cannot comment.

Another report, from the General Meeting itself, states that the airports must draw up a “special report” on continuity, i.e. the survival of the airports. This is necessary because the company’s net assets have been negative since this year. Net assets correspond to the total amount of assets minus, among other things, debts. Once net assets are less than the capital, the judicial dissolution of the company becomes possible. This means that any interested party (such as a shareholder or employee) can, in theory, request the dissolution of the company in court.

However, according to the airports, continuity is in no way compromised. They specifically point to so-called "comfort letters" from the French operator Egis as evidence of this. In such a letter, the parent company makes a statement to the subsidiary. In addition, the airports also cite a loan from the main shareholder that is intended to ensure continuity.
